TERMS AND CONDITIONS
THE TERMS AND CONDITIONS SET FORTH BELOW (THE "TERMS") GOVERN YOUR USE OF THIS SITE AND ARE LEGALLY BINDING ON YOU. PLEASE READ THESE TERMS CAREFULLY - IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, DO NOT ACCESS OR OTHERWISE USE THIS SITE OR ANY INFORMATION CONTAINED ON THE SITE. YOUR USE OF THE SITE SHALL BE DEEMED TO BE YOUR AGREEMENT TO ABIDE BY EACH OF THE TERMS SET FORTH BELOW.
RESTRICTED USE
360Partners, LP ("360Partners") provides a service that allows buyers to submit Quote Requests (QRs) to multiple suppliers for a variety of products and services through its sites on the World Wide Web (the "Site"). In order to use our service, you must be a natural person, 18 years or older, and a legal resident of the United States to use this Site. You represent and warrant that you are of sufficient legal age to use the Site and to enter into the binding legal obligations you may incur as a result of use of the Site. You agree to be financially responsible for any liability you may incur as a result of using the Site. Your use is limited to your personal non-commercial use. You agree that you will not use any robot, bot, spider, or other automatic or manual device or process to monitor or copy any pages on the Site. Additionally, you may not take any action that imposes an unreasonable or disproportionately large load on the Site's infrastructure.
1. SERVICES PROVIDED BY 360PARTNERS, LCC
360Partners, LP ("360Partners") provides a service that allows buyers to submit QRs to multiple suppliers for a variety of products and services through its sites on the World Wide Web (the "Site"). 360Partners may not always be able to match your QR(s) with suppliers.
We do not guarantee the quality of the suppliers who receive and respond to your QR. 360Partners is a conduit for matching buyers and suppliers. We are not responsible for any transaction that may occur between you and/or your company and a 360Partners participating supplier. 360Partners does not guarantee the quality, safety or legality of the information provided or the products and services sold. You should exercise as much caution and due diligence as you would typically exercise with any purchase of products or services.
Should you have a dispute with any supplier, you must address such dispute directly with the supplier and not with 360Partners. You hereby agree to release 360Partners from any and all damages or claims arising out of or in any way connected with such disputes and your transactions with suppliers.
2. YOUR USE OF 360Partners, LP SERVICES
360Partners is not a supplier of products or services, nor is it a third party to any transactions involving products or services.
You agree that by completing a QR, you are entering into an agreement with 360Partners and a business relationship with 360Partners suppliers and thus agree to be contacted by 360Partners and its suppliers. You acknowledge that these suppliers can contact you regarding your QR(s) and that you are expressly consenting to such contact by them, or 360Partners, if necessary, to fulfill such QR via phone, fax, email, mail or other reasonable means, at any of your contact numbers or addresses.
It is agreed that your use of 360Partners services is for purchasing purposes and not for any other purpose including advertising or competitive intelligence. You acknowledge that 360Partners screens your QR(s) and has the right, at our discretion, to deny any QR that is in violation of these terms and conditions.
If it is determined or suspected by 360Partners, at our sole discretion, that you are misusing or attempting to misuse or circumvent the 360Partners services or system, or are using or attempting to use it for any inappropriate purposes (including but not limited to activities such as hacking, fraud, advertising, or spamming) 360Partners reserves the right to immediately terminate your access without notice and to commence legal actions or proceedings to seek remedies and/or damages, including but not limited to lost revenue, repairs, legal fees, costs and expenses, and to seek injunctions or other equitable remedies.
3. SUPPLIER PAYMENT
Suppliers receiving leads must provide 360Partners with accurate and complete billing information. Any changes to this information must be reported to 360Partners within three (3) days of the change. If the financial institution disapproves a charge, 360Partners will notify you via email, and you must remedy the disapproval. If disapproval is not remedied within seven (7) days of the date of the notice, 360Partners reserves the right to charge an administrative fee in the amount of forty dollars ($40), and to pursue any other available remedy. 360Partners is not responsible for any charges or expenses (e.g. for overdrawn accounts, exceeding credit card limits, etc.) resulting from charges billed by 360Partners.
4. INFORMATION YOU PROVIDE TO US
When using 360Partners services, you will be prompted to disclose certain information about yourself and your purchasing requirements. This information will be sent to matching suppliers who will use this information to respond to you. You promise that all information you provide will be accurate to the best of your knowledge. If you provide any information that is untrue, not current or incomplete, or which 360Partners has reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, 360Partners has the right to refuse you current or future use of the 360Partners services.
Your acceptance of these Terms & Conditions indicates that you expressly consent to our use and disclosure of your personal information in accordance with our Privacy Policy.
5. YOUR USE OF 360Partners CONTENT
The Site design, graphics, images, text, information, documents, products and services provided or offered on the Site, including the selection and arrangement of such items, are the copyrighted work(s) of 360Partners or its licensors ("Materials").
360Partners grants you a limited, personal, non-exclusive and non-transferable license to display the Materials only on your personal computer and to print in hard copy portions of this Site for the sole purpose of placing a QR with 360Partners. Any other use of Materials on this Site - including reproduction for purposes other than those noted above, modification, distribution, or republication - without the prior written permission of 360Partners is strictly prohibited. This limited license terminates automatically, without notice to you, if you breach any of these Terms. Upon termination of this limited license, you agree to immediately destroy any downloaded and printed Materials. Except as stated herein, you acknowledge that you have no right, title to or interest in the Materials on any legal basis.
Use of 360Partners content for any other purpose is expressly prohibited by law, and may result in civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
6. LINKS TO THIRD PARTY SITES
This Site may be linked by 360Partners to other sites which are not under the control of or maintained by 360Partners. You acknowledge that 360Partners is providing these links to you only as a convenience, and further agree that 360Partners is not responsible for the content or links displayed on such sites.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 360Partners SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY CLAIMING THROUGH YOU FOR ANY DAMAGES SUFFERED AS A RESULT OF YOUR DISPLAYING, OR DOWNLOADING ANY INFORMATION OR MATERIAL CONTAINED ON THE SITE. IN NO EVENT SHALL 360Partners BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, WHETHER FOR BREACH OR IN TORT, EVEN IF 360Partners HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
8. GENERAL TERMS
You acknowledge and agree that the 360Partners services are provided to you on an "AS IS" basis without any warranty whatsoever, and your sole and exclusive remedy, and 360Partners' sole obligation to you or any third party for any claim arising out of your use of the 360Partners services or the 360Partners Web site, is that you may terminate use of the 360Partners services or the 360Partners Web site at any time.
360Partners AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED ON THIS WEBSITE FOR ANY PURPOSE. ALL SUCH DOCUMENTS AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. 360Partners EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY AND ALL LIABILITY FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL (INCLUDING LOST PROFIT), EXEMPLARY OR PUNITIVE DAMAGES (EVEN IF 360Partners HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF THIS AGREEMENT OR ANY CONSEQUENCES WHICH FLOW FROM IT. SOME STATES DO NOT ALLOW LIMITATIONS ON OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
You agree to indemnify 360Partners, and its officers, employees, affiliates, agents, subsidiaries, and co-branders and hold them each harmless from any and all claims, including attorney's fees, made by any third party due to or arising from your use of the 360Partners services or connection to the 360Partners web site or your violation of the Terms and Conditions, or arising from your violation of any rights of a third party.
The Terms and Conditions will inure to the benefit of 360Partners' successors, assigns and licensees. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. The failure of 360Partners to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. You agree that any claim or cause of action arising out of or related to use of the 360Partners services or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arises. The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and 360Partners as a result of this Agreement or use of this Web site.
This Agreement is governed by the laws of the state of Texas. You hereby consent to the exclusive jurisdiction and venue of courts in Travis County, Texas, in all disputes arising out of or relating to the use of this site.
This Agreement constitutes the entire agreement between you and 360Partners with respect to this site, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and 360Partners with respect to this site.
By using the 360Partners site, you are stating that you have read and understand the Terms of Use, and that you agree to be bound by the Terms of Use as provided, and as 360Partners may update from time to time. INFORMATION WE GATHER
360Partners gathers information for the purpose of matching buyers with suppliers. We recognize that your information is sensitive and restrict our collection of it to the critical data needed to deliver our service .
Visiting our Site
As a visitor to our site, you can browse our pages without having any personally identifiable information revealed about you. We may also track the effectiveness of various promotions through the use of data collection devices known as "cookies." A “cookie” is a piece of data stored on the user's computer tied to information about the user. Usage of a cookie is in no way linked to any personally identifiable information while on our site. We use both session ID cookies and persistent cookies. For the session ID cookie, once users close the browser, the cookie simply terminates.
Like most standard Web site servers we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track user's movement in the aggregate, and gather broad demographic information for aggregate use. IP addresses, etc. are not linked to personally identifiable information.
Submitting a Quote Request
As a buyer using our Quote Requests service, you need to provide additional information so 360Partners can deliver our Quote Requests service to you. This includes contact information, basic and your purchasing requirements. The information collected varies according to the different products and services and can be viewed by visiting the different Quote Request forms located throughout our site.
Any credit card information we receive is stored securely via encryption and an SSL connection; our security measures are reviewed later in this document.
HOW WE USE THE INFORMATION
360Partners primarily uses the information gathered to put buyers and sellers into contact with one another so they can form a mutually beneficial relationship and to improve your user experience on our site.
Quote Requests
Buyers or suppliers who utilize our Quote Requests service receive emails from 360Partners to facilitate the transaction. You cannot opt out of emails that are necessary to provide our services. By using 360Partners' Quote Requests service and accepting our Terms and Conditions, you agree that we may use your personal information to contact you and deliver information to you related to your specific Quote Request(s).
Analysis
In our ongoing effort to improve the content and services we offer, we continually analyze the information we receive to identify trends and patterns in user behavior. Your personal information, when used in such a manner, is aggregated with others to amass enough data for such analysis and is not personally identifiable. It is used to make our site and user experience better for users.
Other communications
360Partners reserves the right to send you email communications related to your Quote Requests and the status of your account. In addition, 360Partners sends periodic surveys and other communications, all of which you can opt out of receiving by changing your notification preferences as described below.
HOW WE SHARE YOUR INFORMATION WITH OTHERS
Our customer information is an important part of our business. As a result, we limit the disclosure of this information to the information necessary to provide our service of matching buyers and suppliers. Our sharing of information to outside parties is described below.
Suppliers
A small set of suppliers will be provided with your information submitted as a part of a Quote Request so the buyer’s purchasing needs may be fulfilled. The buyer's information will only be used to communicate with the buyer about their Quote Request.
Affiliates
360Partners has established partnerships to provide our Quote Requests service more broadly throughout the Internet to both buyers and suppliers. When a user has utilized these services through an affiliate, we will share information about these users to the affiliate as necessary. This information is typically reported in an aggregated format.
Legal Requests
As a good corporate citizen, 360Partners is interested in protecting its members and the community at large. We will release account and other personal information to legal authorities when we believe it is appropriate to comply with the law. In addition, 360Partners may choose to release information about you to relevant parties in relation to investigations of fraud, piracy or other unlawful activity in order to maintain a high level of trust and safety in our community.
INFORMATION SECURITY
Your information is stored on servers that are protected against unauthorized access through the use of safeguards such as "firewalls," encryption and Secure Socket Layers. We utilize many security techniques to protect your personal information. However, it is impossible to guarantee a perfect security system.
LEGAL DISCLAIMER
